ACQUISITION ANALYST™ was designed to assist with the analysis, valuation and structuring of the acquisition of the stock or assets of a target company. It can be utilized to analyze buy side or sell side transactions. The software program provides fully-integrated user-defined five year forecasts that include balance sheets, statements of cash flows, operating statements and a discounted cash flow analysis including residual values. Up to five years of historical data coupled with user defined forecasts and comparable company data assist in determining value and financial structuring. Built-in graphics make the analysis easy to understand. The software program is assumption-driven and easy-to-use.
 
FEATURES:
Historical Data Input up to five years of annual historical balance sheets, annual income statements and income normalization adjustments. Optionally input up to three years of quarterly income statements. Optional input also includes up to five years of annual stock price history and three years of quarterly stock price history for publicly traded target companies.

Fair Market Value
Net Assets Acquired

Adjust the most recent historical balance sheet by excluding assets and liabilities not being acquired and adjust asset and liability values of acquired assets and liabilities to their fair market value. The result represents the fair market value of the net assets acquired which when subtracted from the user defined purchase price determines the value of goodwill.
Comparable
Company Data
Input selected operating data and market value data for up to three years for as many as three comparable companies to further enhance the analysis.

Assumptions
Allows user input for key assumptions: Accounts receivable, inventory, and accounts payable turnover days, useful lives for fixed assets acquired, determination of enterprise value (before debt assumed ) and net enterprise value (after debt assumed), effective tax rates and financing assumptions for up to five categories of debt.
Forecast Operations Utilizing the most recent historical year of operating results as a reference point the user can forecast five years of future operating results. Simply input a sales forecast, variable cost (as a % of sales) for up to five categories and fixed cost for up to four categories. Separately input detailed normalization adjustments and synergy adjustments to determine adjusted forecasted operations and EBITDA.
Discounted Cash Flow
Analysis
Discounted cash flow analysis is calculated utilizing a user defined
discount rate applied to the forecasted net cash flows for five years plus a terminal value based upon a user defined EBITDA multiple. The residual cash flow value is reduced by existing debt and the tax effect on the calculated gain or loss at the terminal value date.
Supporting Data Reports include detailed calculations of forecasted cash flow and debt coverage, forecasted working capital requirements and forecasted depreciation and amortization.
Graphics Graphs of key elements of historical data, forecasted data, funding sources and collateral coverage greatly enhances the impact and understandability of the data.
